Limited Liability Company (hereafter - LLC) - a legal entity established by one or more participants, the authorized capital of which is divided into shares. The constituent document is the Charter, which establishes the distribution of shares, rights, and responsibilities of participants.

On July 11, 2021, the Order of the Ministry of Finance of Ukraine of March 19, 2021 № 163 "On approval of the Regulations on the form and content of ownership structure" came into force. At the same time, existing legal entities need to submit documents to update the information on the ultimate beneficial owners in the United state register (hereafter - ‘USR’).

Legal aspects 

The constituent document of the LLC is the Charter, which is signed by all the founders and the signatures should be notarized. In addition, the company can operate based on the model charter - such a document does not need to be signed, notarized, and in case of changes in the activities of the company, the model charter does not need to register changes.

The number of founders of the company is unlimited. Participants are liable only within their shares in the authorized capital. According to the decision of the participants, the shares are paid in cash and/or in noncash forms. The term for payment of shares is 6 months from the date of state registration of the LLC unless otherwise provided by the Charter.

The Articles of Association may provide for the procedure for granting consent by the company's bodies to commit significant transactions. Exclusively by the general meeting, a decision is made on a transaction, the value of which exceeds 50 percent of the value of the company's net assets in accord under approved financial statements.

The legislation provides for activities that can be carried out only by a business entity in the form of a limited liability company (for example, for tour operators, broadcasters).

According to the latest changes, residents can register a limited liability company through the "DIIA" application. In this case, the company will have a model charter.

Can I create another LLC if I am already a member of another one?

Yes, you can. From June 17, 2018, the Law of Ukraine " On Limited and Additional Liability Companies" allowed to be the sole founder/participants of an unlimited number of LLCs. 

What documents must be notarized during the initial registration?

The signatures of the founders on the Charter, the Protocol or the Decision on creation, copies of passports of the final beneficial owners should be notarized.

What can be the maximum amount of authorized capital?

The legislation does not set the minimum and maximum amount of authorized capital.
 

How many founders do you need to create a limited liability company?

LLC can be created by one person. The maximum number of founders/participants is not set by current legislation.

Is it possible to register a company at the address of the apartment?

Yes, you can. It is allowed to register the location of the LLC at the place of registration of one of the founders. But in the future, this may be a problem with obtaining licenses and permits.
